Terms of Service

Please read these terms carefully before using PulseIntel.

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and PulseIntel (“we,” “us,” or “our”) governing your access to and use of the PulseIntel platform, including the Chrome extension, web dashboard, meeting recording bot, APIs, and all related services (collectively, the “Service”).

By creating an account, installing the Chrome extension, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

Eligibility: You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. The Service is designed for business-to-business (B2B) professional sales use. By using the Service, you represent that you meet these requirements and are using the Service for legitimate business purposes.

2. Description of Service

PulseIntel is an AI-powered sales intelligence platform that provides:

  • Chrome Extension: A browser extension that provides real-time prospect research, company intelligence, and AI-powered sales assistance while browsing LinkedIn and the web
  • AI Sales Intelligence: AI-generated prospect research, personalised email drafts, meeting preparation briefs, objection handling, and sales strategy recommendations
  • Gmail Integration: Email reading, drafting, and sending capabilities through Google Gmail API
  • Google Calendar Integration: Calendar access for meeting preparation, scheduling, and attendee research
  • Meeting Recording Bot: An automated bot that joins video conferences to record, transcribe, and summarise meetings
  • Knowledge Base: A document management and retrieval-augmented generation (RAG) system for storing and leveraging company sales materials
  • LinkedIn Automation: Tools for automating connection requests, profile viewing, and messaging on LinkedIn
  • CRM Integration: Data synchronisation with CRM platforms (e.g., HubSpot)
  • Web Dashboard: A centralised dashboard for managing settings, viewing analytics, and accessing all features

3. Account Registration

  • You must provide accurate, current, and complete information during registration and keep it updated
  • You will authenticate using Google OAuth. By doing so, you authorise PulseIntel to access your Google account data as described in our Privacy Policy
  • You are responsible for safeguarding your account credentials and for all activities that occur under your account
  • You must notify us immediately at info@pulseintel.co.uk if you suspect unauthorised access to your account
  • We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms

4. Subscription & Billing

4.1 Plans

PulseIntel offers subscription plans including Starter, Growth, and Professional tiers, each with different feature sets and credit allowances. Plan details, pricing, and included credits are displayed on our pricing page and may be updated from time to time.

4.2 Credit System

The Service operates on a credit-based system. AI-powered features consume credits based on the type and complexity of the request. Your plan includes a monthly credit allocation. Additional credits may be available for purchase. Unused credits do not roll over to the next billing period unless otherwise specified in your plan.

4.3 Billing

  • All payments are processed securely through Stripe
  • Subscriptions are billed monthly or annually, depending on the plan selected
  • Subscriptions automatically renew at the end of each billing period unless cancelled
  • Prices are displayed exclusive of applicable taxes, which may be added at checkout

4.4 Cancellation & Refunds

  • You may cancel your subscription at any time through your account settings or by contacting support
  • Cancellation takes effect at the end of the current billing period; you retain access until then
  • We do not provide refunds for partial billing periods, except where required by applicable law
  • If you are within 14 days of your initial subscription, you may request a refund by contacting info@pulseintel.co.uk

5. Acceptable Use

The Service is intended for professional B2B sales activities. You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Send unsolicited bulk messages, spam, or messages that violate anti-spam laws (CAN-SPAM, GDPR, PECR)
  • Scrape, harvest, or collect data from the Service or connected platforms beyond the scope of normal Service use
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Use the Service to harass, intimidate, threaten, or stalk any person
  • Use the Service for any illegal activity, including but not limited to fraud, identity theft, or violation of privacy laws
  • Share account credentials or allow unauthorised persons to access your account
  • Attempt to circumvent usage limits, credit systems, or security measures
  • Use the Service in a manner that could disable, overburden, or impair our infrastructure
  • Upload malicious content, viruses, or harmful code to the Knowledge Base or any other feature
  • Misrepresent your identity or affiliation when using the Service's communication features

Violation of this section may result in immediate suspension or termination of your account.

6. Chrome Extension

The PulseIntel Chrome extension requires certain browser permissions to function. By installing the extension, you acknowledge and agree that:

  • The extension accesses page content on LinkedIn and other websites you visit to provide prospect intelligence and sales assistance
  • The extension communicates with PulseIntel servers to process AI requests and sync data
  • Background processing occurs to maintain real-time features and data synchronisation
  • You are responsible for compliance with the terms of service of websites you access using the extension, including LinkedIn's User Agreement
  • The extension stores data locally on your device using Chrome storage APIs for caching and performance

7. AI-Generated Content

PulseIntel uses artificial intelligence to generate content including prospect research, email drafts, meeting briefs, objection responses, and sales strategies. You acknowledge and agree that:

  • Suggestions only: All AI-generated content is provided as suggestions and recommendations. It does not constitute professional, legal, financial, or other expert advice
  • User responsibility: You are solely responsible for reviewing, editing, and approving all AI-generated content before use, especially before sending emails or communications to third parties
  • No guarantees of accuracy: While we strive for high-quality outputs, AI-generated content may contain inaccuracies, outdated information, or inappropriate suggestions. We do not guarantee the accuracy, completeness, or suitability of any AI-generated content
  • No liability: PulseIntel is not liable for any consequences arising from your use of AI-generated content, including but not limited to lost business opportunities, reputational damage, or regulatory violations

8. Meeting Recording

If you use the PulseIntel meeting recording feature, you acknowledge and agree to the following:

8.1 Consent & Compliance

  • You are solely responsible for obtaining all necessary consent from meeting participants before recording
  • You must comply with all applicable laws regarding recording conversations, including two-party consent laws in states such as California, Florida, Illinois, and others
  • For meetings with participants in the EU/UK, you must comply with GDPR requirements for recording and processing personal data
  • We recommend announcing at the start of each recorded meeting that the session is being recorded

8.2 Bot Identification

The PulseIntel meeting bot joins meetings as a visible, named participant (“PulseIntel Notetaker”) to provide transparency. However, this does not substitute for your legal obligation to obtain consent where required.

8.3 Liability

PulseIntel is not liable for any legal consequences arising from your failure to obtain proper consent or comply with recording laws. You agree to indemnify PulseIntel against any claims arising from your use of the meeting recording feature.

9. Intellectual Property

  • PulseIntel's IP: The Service, including all software, algorithms, designs, text, graphics, and other content created by PulseIntel, is owned by PulseIntel and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our IP without our written consent
  • Your Content: You retain ownership of all data, documents, and content you upload to or create within the Service (your “User Content”)
  • License Grant: By using the Service, you grant PulseIntel a limited, non-exclusive, worldwide licence to process, store, and display your User Content solely as necessary to provide and improve the Service. This licence terminates when you delete your content or close your account
  • Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant PulseIntel an unrestricted, irrevocable licence to use such feedback for any purpose without compensation

10. Data & Privacy

  • Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference
  • Data ownership: You own your data. We act as a data processor on your behalf for the purpose of providing the Service
  • Data export: You may request an export of your data at any time by contacting info@pulseintel.co.uk
  • Data deletion: Upon account termination, we will delete your data within 30 days, subject to any legal retention obligations

11. Third-Party Integrations

The Service integrates with third-party platforms and services. Your use of these integrations is subject to the following:

  • Google APIs: Access to Gmail and Google Calendar is subject to Google's Terms of Service and our compliance with the Google API Services User Data Policy. You authorise PulseIntel to access these services on your behalf when you grant OAuth permissions
  • LinkedIn: When using PulseIntel features on LinkedIn, you must comply with LinkedIn's User Agreement and Professional Community Policies. PulseIntel is not affiliated with LinkedIn
  • HubSpot: CRM sync features are subject to HubSpot's Terms of Service. You authorise PulseIntel to read and write data to your HubSpot account as configured by you
  • AI Providers: AI features are powered by third-party language model providers (via OpenRouter and direct API access). These providers process data under their respective terms and data processing agreements
  • Stripe: Payment processing is handled by Stripe and subject to Stripe's Terms of Service

We are not responsible for the availability, accuracy, or practices of third-party services. Third-party integrations may change or become unavailable without notice.

12. Service Availability

  • We strive to maintain high uptime and reliability but do not guarantee uninterrupted access to the Service
  • Scheduled maintenance will be communicated in advance where practicable
  • The Service may be affected by factors outside our control, including third-party API outages (Google, LinkedIn, HubSpot), network issues, or force majeure events
  • No service level agreement (SLA) with guaranteed uptime is provided unless separately agreed in writing for enterprise customers
  • We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • PulseIntel's total aggregate liability for any claims arising from or relating to the Service shall not exceed the total fees paid by you to PulseIntel in the twelve (12) months preceding the claim
  • In no event shall PulseIntel be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or revenue
  • PulseIntel shall not be liable for any damages arising from: (a) your use of or inability to use the Service; (b) any AI-generated content; (c) unauthorised access to your account; (d) actions of third-party services or integrations; (e) meeting recordings made in violation of applicable law

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless PulseIntel, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable law or regulation, including recording and privacy laws
  • Content you upload, generate, or distribute through the Service
  • Your failure to obtain required consent for meeting recordings
  • Your misuse of AI-generated content
  • Your violation of any third party's rights, including intellectual property or privacy rights

15. Termination

15.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support. Upon termination, your subscription will not renew, and you will retain access until the end of your current billing period.

15.2 Termination by PulseIntel

  • We may suspend or terminate your account immediately if you violate these Terms, engage in prohibited activities, or pose a risk to the Service or other users
  • We may terminate your account with 30 days' notice for any other reason

15.3 Effect of Termination

  • You will have 30 days from the date of termination to export your data by contacting info@pulseintel.co.uk
  • After the 30-day export period, all your data will be permanently deleted from our systems
  • Sections of these Terms that by their nature should survive termination will remain in effect, including Sections 7 (AI-Generated Content), 9 (Intellectual Property), 13 (Limitation of Liability), 14 (Indemnification), and 16 (Dispute Resolution)

16. Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

16.2 Informal Resolution

Before initiating formal dispute resolution, you agree to first contact us at info@pulseintel.co.uk and attempt to resolve the dispute informally for at least 30 days.

16.3 Arbitration

If the dispute cannot be resolved informally, it shall be resolved through binding arbitration conducted in London, England. The arbitration shall be administered under the rules of the London Court of International Arbitration (LCIA). The arbitrator's decision shall be final and binding.

16.4 Class Action Waiver

To the fullest extent permitted by law, you agree that any disputes will be resolved on an individual basis and you waive any right to participate in a class action, class arbitration, or representative proceeding.

16.5 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm. Consumer protection rights mandated by applicable law are not affected.

17. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the “Last Updated” date at the top of these Terms
  • Provide at least 30 days' notice before changes take effect, via email or a prominent notice on the Service
  • Give you the opportunity to review the changes before they become effective

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and cancel your account before the changes take effect.

18. General Provisions

18.1 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18.2 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PulseIntel regarding the Service and supersede all prior agreements, understandings, and communications.

18.3 Waiver

The failure of PulseIntel to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. PulseIntel may assign its rights and obligations under these Terms without restriction.
